Billi Terms of Service

Version: 2026-09-21

Effective date: 2026-09-21

Last updated: 2026-09-21

Plain-language summary (not legally binding)

If this summary ever differs from the numbered clauses, the numbered clauses apply.

1. Parties and agreement

1.1 These Terms of Service ("Terms") are a binding agreement between Collice Rodrigues, an individual carrying on business as a sole proprietor in India under the name "Billi" ("Billi", "we", "us"), and the business or person who creates or uses a Billi account ("you"). Billi is not a company; it is operated by one person. Our contact address for all purposes under these Terms, including legal notices, is hello@billi.work. A postal address will be provided on written request to that address, and to any court or authority that requires it.

1.2 The Privacy Policy (in the app and at /privacy) forms part of these Terms.

1.3 If you accept on behalf of an organisation, you confirm you are authorised to bind it, and "you" means that organisation.

2. Acceptance and changes

2.1 No account can be created unless the person creating it affirmatively accepts these Terms and the Privacy Policy, whether signing up by email and password or with Google. We record the version identifier accepted and the time of acceptance.

2.2 Each published version carries a version identifier (top of this document). When we publish a new version, every user must accept it before continuing. Until they do, our servers refuse requests to view, create or change business data, regardless of remaining subscription time.

2.3 We may correct typographical errors, formatting or cross-references without a new version. Any change affecting rights, obligations, pricing rules, data handling or liability is issued as a new version.

2.4 If you do not agree to a new version, do not accept it; you may ask us to export or delete your data under clause 11.

3. Definitions

"Service": the Billi web application, its public Online Store and Client Portal pages, and related APIs and features.

"Company": a business workspace in the Service. One subscription may cover several Companies, up to the plan limit.

"Owner", "Admin", "Accountant": the three user roles. The Owner created the Company or received ownership by transfer within the Service.

"Subscription": the trial or paid entitlement attached to your account, with a tier (Basic, Pro, Ultimate, Business) and, for paid plans, a billing cycle.

"Customer Data": all data you or your users enter, upload or import, and data your customers submit through your Online Store or Client Portal.

"Third-Party Provider": any provider we rely on to operate the Service (clause 15).

4. What the Service is and is not

4.1 The Service is a record-keeping, invoicing and reporting tool. It records clients, vendors, products, invoices, credit notes, quotations, purchase orders, expenses and payments, and produces reports, reminders and dashboards from what you enter.

4.2 It is not accounting, tax, legal or financial advice. It applies the rates, codes, numbering and settings you configure and does not check that a GST rate, HSN/SAC code, GSTIN, PAN, number series, tax treatment or figure is correct for your situation.

4.3 Reports (profit and loss, financial position, outstanding collections, tax reports) are computed only from your entries. Missing, duplicated, mis-dated or mis-categorised entries produce wrong reports. We do not warrant that any report is fit for filing or any statutory purpose.

4.4 Review every document and figure before you issue, file, pay or rely on it, and keep the source records the law requires. We recommend professional review of your books and returns.

5. Accounts, roles and identity

5.1 You must be at least 18 and use the Service for business purposes.

5.2 Sign-up creates a Company, its first Owner login, a 30-day trial Subscription and a subscriber account linking them. Each Company has an auto-generated Company Code that invited team members use to activate their login. Keep it private, like a password.

5.3 An Owner may invite Admins and Accountants up to the plan's seat limits and may deactivate a login at any time. A deactivated login cannot sign in and frees its seat; records and audit history attributed to that person are kept. It may be reactivated if a seat is free.

5.4 Depending on plan, a subscriber may add further Companies under one subscription. A person may request to join another Company using its Company Code, subject to that Owner's approval. Ownership transfers only through the transfer flow in the Service.

5.5 Google sign-in. We verify Google's identity token before trusting it. A Google account whose verified email matches an existing Billi login is linked to that login; once linked, the link is what we trust and is never silently re-pointed to another Google account. A Google sign-up must still give a company name and accept these Terms.

5.6 Mobile number and 2FA. The Service may require you to verify a mobile number by one-time code before using business features. Changing your number requires verifying the new one and revokes trusted devices. Optional SMS two-factor authentication needs a verified number; turning it off requires your password and revokes trusted devices. "Trust this device" skips the code on that browser for a fixed 30 days; you can revoke trusted devices in Settings.

5.7 Credentials. Passwords are stored only as one-way hashes; we cannot read or recover them (use the reset flow by email or SMS). Five wrong passwords in a row lock the login for 15 minutes. Sessions expire after at most 7 days. You are responsible for all activity under your logins. Report suspected unauthorised access to hello@billi.work; we may require resets or re-verification before restoring access.

6. Your responsibility for data accuracy, tax and compliance

6.1 You are solely responsible for: (a) the accuracy, completeness and lawfulness of Customer Data; (b) configuring tax rates, HSN/SAC codes, numbering, financial year and other settings correctly; (c) your compliance with GST law, the Income-tax Act 1961, the Companies Act 2013 where applicable, e-invoicing and e-way bill rules and any other law governing your records, invoices and filings; and (d) obtaining professional advice where needed.

6.2 The Service may suggest values (a default rate, a code from a loaded list, the next number in a series, fields read from a bill photo). Every suggestion is editable and is your decision to accept; accepting it does not shift responsibility to us.

6.3 We are not liable for any tax, interest, penalty, assessment, audit finding, rejected filing, lost input tax credit or dispute with a customer, vendor or authority resulting from data you entered, imported, accepted or failed to review.

7. Free trial

7.1 A new Company receives a 30-day free trial from sign-up (length may change for future sign-ups) with the features and limits of the Business plan, and no payment details are needed to start.

7.2 The trial is intended to be one per business. We may refuse, shorten or end additional trials obtained through new sign-ups by the same person or business.

7.3 When the trial ends without a paid plan, the account becomes read-only (clause 11). Data is not deleted because a trial ended. If the account holds more Companies than the plan chosen afterwards includes, the Owner chooses which Companies stay active; the others stay read-only (they can be viewed, searched and exported, but not changed) until the plan has room for them again. Nothing is deleted because of this.

8. Paid plans, billing and automatic renewal

8.1 Four tiers (Basic, Pro, Ultimate, Business) are offered on four cycles (monthly, 1 year, 2 years, 3 years). Each tier's features and limits (including the number of Companies and logins, invoice designs, activity-history access and which features are included) are shown in the app and on billi.work, and may change for future subscriptions. Prices shown are the total payable; Collice Rodrigues is not currently registered for GST and does not add tax at checkout. If that changes, prices and invoices will be updated and notice given.

8.2 Payments are collected by Razorpay under a recurring mandate you authorise at Razorpay's checkout. Prices in the app (including struck-through list prices and offers) are indicative; the exact amount is shown by Razorpay before you confirm and, if they differ, the Razorpay amount is charged. Prices shown are the total amount payable and are not subject to GST: Collice Rodrigues is not registered for GST, does not collect GST on Billi's fees, and therefore does not issue a GST tax invoice for them. The payment receipt Razorpay sends you is your record of the charge, and we will confirm any payment in writing on request to hello@billi.work. If Billi becomes registered for GST we will restate prices, say so before the change takes effect, and issue tax invoices from that date.

8.3 Automatic renewal. At the start of each cycle Razorpay charges the mandate for your plan until: (a) you cancel (clause 9); (b) the mandate reaches its maximum number of charges (currently 120 monthly, 10 yearly, 5 two-year, 3 three-year), after which the subscription ends and must be re-subscribed; or (c) a payment fails and is not resolved.

8.4 Renewal amount. Renewals within the same subscription are charged at the amount of the plan you subscribed to. Price changes apply to new subscriptions and to plan changes you make afterwards, and are published in the app at least 30 days before they apply.

8.5 Paid access starts when Razorpay confirms the first payment to our servers; the paid period end date is taken from Razorpay's records. An incomplete checkout grants nothing.

8.6 If Razorpay reports a failed renewal, the Subscription is marked past due and becomes read-only (clause 11) once the current paid period ends, returning to active when a payment succeeds.

8.7 Changing plan. You change tier or cycle by completing a new checkout, which creates a new recurring subscription with Razorpay. Check the subscription notices Razorpay sends you and tell us immediately if more than one subscription for the same Company appears active; a duplicate charge caused this way is a charge in error under clause 10.3.

8.8 Downgrades. If a lower tier allows fewer logins than you use, checkout is refused until you choose whom to deactivate. You choose, not we. Those deactivations take effect only when Razorpay confirms the payment for the lower tier; if the checkout is not paid, nothing changes. If the lower tier includes fewer Companies than you hold, you choose which Companies stay active once it takes effect, as in clause 7.3.

8.9 Referral credit. When a business you referred with your referral code subscribes for the first time to a plan of at least one year (a 1-year, 2-year or 3-year plan), 30 days are added to your current plan, once per referred business. A monthly plan does not earn the credit. Credit days are kept when your plan renews. Credits have no cash value and are not refundable.

8.10 Limit adjustments we make for a particular account on request are a courtesy, may be withdrawn on notice, and do not change your price.

9. Cancellation

9.1 There is no self-service cancel button. To cancel, email hello@billi.work from the Owner's registered email, or use the subscription-management tools Razorpay provides (for example in Razorpay's subscription emails). We act on a valid request within 3 working days and confirm in writing.

9.2 Cancellation stops future renewal charges. The period already paid for runs to its scheduled end, is not shortened, and is not refunded except under clause 10. The account then becomes read-only (clause 11).

9.3 If Razorpay tells us your mandate was cancelled, completed or expired (for example you cancelled directly with Razorpay or your bank), we treat the Subscription as cancelled from that date with the same effect.

10. Refunds

10.1 Fees are payable in advance for the chosen cycle and, subject to clauses 10.2 to 10.4 and any rights you have under Indian law that cannot be excluded, are non-refundable. Unused time is not refunded or credited on cancellation, downgrade or termination for breach.

10.2 No refunds. Once a payment has been made it is not refunded, in whole or in part, for any reason other than a charge made in error under clause 10.3. This applies to every plan and every billing cycle, including annual and multi-year cycles, and whether or not you used the Service during the period paid for.

You may cancel your Subscription at any time under clause 9. Cancelling stops all future charges and lets the period you have already paid for run to its end; it does not produce a refund of that period or of any earlier one. A free trial is provided before any payment is taken precisely so that you can decide whether Billi suits your business before paying for it.

Nothing in this clause affects any right you have under Indian law that cannot be excluded by agreement.

10.3 Charges in error. If you believe you were charged the wrong amount, charged twice, or charged after we confirmed a cancellation, contact hello@billi.work within 30 days of the charge. If we confirm the error we refund it through Razorpay to the original payment method within 7 working days.

10.4 Refunds go only to the original payment method, through Razorpay, in Indian Rupees. Gateway charges retained by Razorpay may be deducted where the refund is not due to our error.

11. Lapse, read-only mode, retention and deletion

11.1 Read-only mode. When a trial or paid period ends without renewal, or a Subscription is cancelled or past due and the paid period has ended, the account becomes read-only: you and your team can sign in, view, search, export and download backups, but requests to create, edit or delete business data are refused until a paid plan is active. Public Online Store pages remain reachable.

11.2 We do not delete Customer Data merely because a Subscription lapsed. We may delete a Company's data, after notice to the Owner's registered email, if it has had no active Subscription for more than 12 consecutive months. Export or back up what you want to keep before then.

11.3 Closing an account. There is no self-service "delete my account". The Owner must email hello@billi.work; we confirm with the Owner before acting.

11.4 Deletion process. A Company we delete (on request, under 11.2, or under clause 19) first enters a recoverable "deleted" state: nothing is physically removed, we attempt to stop future charges with Razorpay (letting the current paid period run out, without refund), and remaining paid or trial time keeps counting down. We can recover a Company from this state on request. Permanent deletion follows only after future billing is confirmed stopped; it removes business records, documents, images, audit logs, notifications, support tickets and memberships, and logins belonging to no other Company. It cannot be undone.

11.5 Recycle bin. Records deleted in the app go to a recycle bin and are permanently removed after the period in your Company settings (30 days by default). Purging runs opportunistically (when the bin is opened or on an hourly sweep), so a record may occasionally remain slightly longer. Which record types can be restored depends on plan.

11.6 We may disable a Company's access under clause 19 without deleting anything; disabling does not pause, extend or refund a Subscription.

12. Your data, our licence, our access

12.1 You own Customer Data. You grant us a non-exclusive, royalty-free licence to host, copy, process, transmit, back up and display it only to provide, secure, support and improve the Service for you, to comply with law, and as described in the Privacy Policy.

12.2 We do not sell Customer Data and do not use it to train AI models. AI features are governed by clause 21.

12.3 As operator of the servers and database, we and our platform administrators can technically access Customer Data. We do so only to operate, secure, support and troubleshoot the Service, handle your requests, enforce these Terms or comply with law. Administrator actions are audit-logged. The Service does not provide end-to-end encryption.

12.4 You are responsible for having the right to enter personal data about your clients, vendors, staff and customers, and for your own obligations to them under the Digital Personal Data Protection Act 2023. We act as your data processor for that data (Privacy Policy clause 10).

13. Data import, migration and customer-provided data

13.1 Self-service imports. The Service imports clients, vendors, products, invoices, expenses and HSN/SAC codes from files you prepare, matching existing records by name or code where the tool says so and otherwise creating new ones. You are responsible for the content and format of every file, for checking the result, and for correcting anything imported wrongly. We validate structure where the tool states that it does; we do not verify the substantive correctness of imported figures.

13.2 Assisted migration ("Onboarding Center"). We may offer a paid, staff-assisted migration of your historical records. Where offered, it is governed by separate written terms (scope, fee, timeline, what you supply, review and approval steps) agreed before work begins; these Terms continue to apply to the Service. Unless those terms say otherwise: (a) you supply source data you are entitled to share, as complete and accurate as you can make it; (b) migrated data is shown to you for review before it is treated as final; (c) you must verify migrated data against your source records after go-live; and (d) our responsibility for a migration is limited to re-performing work done incorrectly or refunding the fee for the affected part, at our option.

13.3 We may decline to import data that is unlawful, that we cannot reasonably validate, or that would breach clause 18.

14. Backups, restore and Factory Reset

14.1 You are responsible for keeping current backups outside the Service, testing that they restore, and protecting them. The tools below are a convenience, not a guarantee against loss.

14.2 The tools. An Owner can download a complete backup file of a Company, optionally protected by a password that we never store and cannot recover. An Owner may connect a Google Drive belonging to the business, to which backups are uploaded on demand or on a schedule (daily, alternate days, weekly, every 15 days). Admins may trigger a Drive backup only; Accountants have no backup rights.

14.3 Google Drive backups are not encrypted by Billi. Anyone with access to the connected Drive can read the file, including client and vendor PAN, GSTIN and bank details; the Owner must acknowledge this before connecting. Connect only a Drive your business controls. Disconnecting removes our stored token but neither deletes files already in the Drive nor revokes the grant at Google.

14.4 Device backups need your browser open; scheduled Drive backups run from our servers and can be delayed or missed if our servers, Google or the connection are unavailable. Check that backups are actually being produced.

14.5 Restore is a point-in-time replacement: records in the file are created or updated, and records of the same types not in the file are deleted, so anything entered after the backup is lost. Restore does not change team, seats, Company Code or Subscription, and a file that fails integrity verification is rejected without changes. Owner only. Take a fresh backup first.

14.6 Factory Reset is irreversible. It permanently deletes a Company's business records (clients, vendors, products, invoices, credit notes, quotations, purchase orders, expenses, payments, documents, reminders, budgets, notifications, audit logs, support tickets) and resets numbering, while keeping logins, team, settings and Subscription. Owner only, subject to in-app confirmation; we cannot undo it.

14.7 Our and our hosting providers' infrastructure backups exist for disaster recovery of the Service as a whole. They are not a customer-restore facility, and we do not undertake to restore an individual Company to an earlier point in time from them.

15. Availability, maintenance and Third-Party Providers

15.1 We aim to keep the Service available but do not promise uninterrupted or error-free operation and offer no service-level agreement. We may suspend the Service for maintenance, upgrades or security work, with advance notice where practicable.

15.2 The Service depends on providers we do not control: Razorpay (payments), Google (sign-in, Drive), Twilio (SMS), Resend (email), Render Services, Inc. (hosting) and Neon Inc. (database), and any AI provider under clause 21. Their outages, changes, limits or termination can affect the Service. Features whose provider is not configured for a deployment are simply unavailable.

15.3 Housekeeping tasks (scheduled backups, reminders, recycle-bin purging, scheduled reports) run opportunistically and may be delayed if servers restart or idle.

15.4 We may add, change or withdraw features. If a withdrawal materially reduces what your paid plan includes, we give at least 30 days' notice, and if you cancel within that period for that reason we treat the unused cycle under clause 10.2.

16. Messages sent through the Service

16.1 The Service can email on your behalf (invoices, reminders, statements, order confirmations, support replies) through Resend, and can open WhatsApp on your device with a pre-filled message (our servers send nothing to WhatsApp; you press send). SMS is used only for codes to your own verified number.

16.2 You are responsible for recipient consent where required, for content and templates you customise, and for compliance with the Telecom Commercial Communications Customer Preference Regulations 2018 and other anti-spam and consumer rules. We may stop sending on your behalf on complaints or abuse.

17. Online Store and Client Portal

17.1 The public Online Store is available on the Ultimate and Business plans and during the trial. The Client Portal is a private link for a client you have approved.

17.2 You are the seller of record. You are responsible for products, descriptions, images, prices, stock and terms you publish; for accepting, fulfilling, invoicing and delivering orders; for returns, refunds and customer service; and for compliance with the Consumer Protection Act 2019, the Consumer Protection (E-Commerce) Rules 2020 where applicable, GST law and product-specific law.

17.3 An order is recorded in your account as a purchase order marked "received", the Owner is notified, and where email is configured a confirmation is emailed to the customer and to you. The total shown uses your listed rates and excludes tax; the confirmation says tax is added at billing. Recording an order creates no contract with us, no invoice and no stock guarantee.

17.4 The Service does not collect payment from your customers for store or portal orders; payment is between you and them. If we add online payment later, we will publish terms for it under clause 2.

17.5 Store pages are public. Portal access relies on possession of the private link; treat links as confidential and regenerate them if over-shared. We rate-limit order submission but do not screen customers or detect fraud for you.

17.6 Data your customers submit is Customer Data held under your account and processed by us as your processor (Privacy Policy clause 10). You are responsible for your own privacy notice to them.

17.7 We may suspend a store or portal, without suspending the rest of the account, if we reasonably believe it is used unlawfully or in a way that risks harm to customers, us or other users.

18. Acceptable use

18.1 You must not: (a) use the Service to evade tax, issue false invoices or launder money; (b) upload unlawful, infringing, defamatory or malicious content; (c) attempt to access another Company's data or another user's account; (d) bypass payment gating, plan limits, rate limits, verification or security features; (e) test the Service for vulnerabilities without our written permission; (f) reverse engineer it except where law prohibits this restriction; (g) resell or sublicense it, or give access to anyone other than your team, your store customers and your portal clients; (h) generate automated load a business of your size would not generate manually; or (i) store data you are not permitted to hold.

18.2 Keep the Owner's contact details current so we can reach you about billing, security and legal matters.

19. Suspension and termination

19.1 You may stop using the Service at any time, cancel under clause 9, or ask us to close the account under clause 11.3.

19.2 We may disable, suspend, restrict or terminate access to a Company or user, with notice where practicable and without notice where we reasonably consider it necessary, if: (a) you materially breach these Terms; (b) we receive a court order, lawful direction or credible complaint of unlawful activity; (c) a payment is charged back; (d) the account presents a security risk; or (e) we discontinue the Service, with at least 30 days' notice and an opportunity to export.

19.3 On termination your right to use the Service ends and data is handled under clause 11. Clauses 4, 6, 10 to 14, 17.2 and 22 to 27 survive.

20. Intellectual property and feedback

20.1 The Service, its software, design, templates, documentation and brand are ours or our licensors'. You receive only a limited, non-exclusive, non-transferable right to use the Service for your own business during your Subscription.

20.2 Documents you generate from your own data are yours; the templates remain ours and may be used only within the Service.

20.3 We may use suggestions or feedback you give us without obligation.

21. Optional artificial-intelligence features

21.1 Current feature. Where the operator of a deployment has enabled it, the expense screen offers "Read bill with AI". When you upload a bill photo and click that button, the image is sent from our servers to Anthropic, PBC (api.anthropic.com), which returns suggested values (vendor, bill number, date, line items, total). Nothing is sent unless you click, and nothing is saved until you review the values and save the expense yourself. If not enabled, the button does not appear.

21.2 Future features and bring-your-own-key. We may add optional AI features that use a provider account and API key you hold (for example with OpenAI or Anthropic) so your data goes under your own agreement with that provider, or a provider account we hold. Before any new AI feature sends your data for the first time, we will show a specific consent notice (what data, which provider, what purpose, how to turn it off) and send nothing until you accept. You may decline and keep using the rest of the Service; a manual path remains wherever reasonably practicable.

21.3 What you accept by using an AI feature: (a) the data you submit is processed by a third party outside our direct control under its own terms, possibly outside India; (b) AI output may be incomplete or wrong and is a suggestion for your review, never an authoritative record; (c) you remain responsible under clause 6 for everything you save; and (d) where you connect your own provider account, its charges, limits and data terms are your responsibility.

21.4 What we still commit to. Opting in does not make AI processing your problem alone. For every AI feature we will: (a) send only the data reasonably needed for the task (for the bill reader, the selected image and an extraction instruction, not your other records); (b) use encrypted connections and keep provider credentials we hold secret; (c) restrict the feature to signed-in users of your Company under the Service's role rules; (d) not train models on your data ourselves, and choose provider terms that do not permit the provider to train on it where such terms are available to us; (e) name the provider in the Privacy Policy and update it when a provider changes; (f) maintain written terms with any provider whose account we hold; and (g) let you stop using the feature at any time. Our liability for AI features is subject to clause 24 like the rest of the Service; nothing here excludes liability that cannot be excluded under Indian law.

22. Warranties and disclaimers

22.1 We warrant that we will provide the Service with reasonable skill and care. Otherwise, to the fullest extent permitted by law, the Service is provided "as is" and "as available" and we disclaim all other warranties, express or implied, including fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation.

22.2 We do not warrant that the Service meets any statutory, regulatory or audit requirement applicable to you, produces compliant tax invoices or returns, or is compatible with your other software.

23. Indemnity

23.1 You will defend, indemnify and hold harmless us and our directors, employees and contractors from all claims, losses, liabilities, penalties, costs and expenses (including reasonable legal fees) arising from: (a) Customer Data, including its accuracy, lawfulness and your right to use it; (b) your tax, accounting or statutory filings and records; (c) your Online Store, Client Portal, products, orders and dealings with your customers; (d) messages sent through the Service on your behalf; (e) your breach of these Terms or law; or (f) use of your account by anyone you allowed or failed to prevent.

23.2 We will notify you promptly of a claim, let you control the defence (without admitting liability on our behalf without consent) and cooperate at your expense.

24. Limitation of liability

24.1 To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill, anticipated savings or data (except as stated in 14.7 and 24.3), however arising, even if advised of the possibility.

24.2 To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with these Terms and the Service, in contract, tort (including negligence), statute or otherwise, is limited to the greater of (a) the fees you paid us for the affected Company in the 12 months before the event giving rise to the claim and (b) INR 5,000.

24.3 Data loss. Our liability for loss or corruption of Customer Data is limited to reasonable efforts to restore the Service from our most recent infrastructure backup where possible, and is excluded where the loss results from your own actions (restore, Factory Reset, deletion, an import, loss of a backup password), from a Third-Party Provider, or from data you did not back up under clause 14.

24.4 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited under Indian law.

24.5 The fees reflect this allocation of risk.

25. Governing law and disputes

25.1 These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of India.

25.2 Subject to clause 25.3, the courts of India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, and you and we submit to that jurisdiction. Where the law permits a specific venue to be agreed, it is the courts having jurisdiction over Billi's principal place of business in India, which we will identify on written request to hello@billi.work.

25.3 Nothing in 25.2 prevents either party seeking urgent injunctive relief from a competent court, or affects any non-excludable right you may have to approach a consumer forum under the Consumer Protection Act 2019 where it applies to you.

25.4 Before formal proceedings, each party will write to the other describing the dispute and discuss it in good faith for at least 30 days.

26. Force majeure

Neither party is liable for delay or failure (other than payment) caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil disturbance, strike, government action, failure of utilities, internet or telecommunications, or failure of a Third-Party Provider, provided it notifies the other and uses reasonable efforts to resume.

27. General

27.1 These Terms, the Privacy Policy and any separate written terms for the Onboarding Center or other paid services are the entire agreement about the Service.

27.2 You may not assign these Terms without our written consent, except that Company ownership may be transferred within the Service (5.4). We may assign to an affiliate or successor on notice.

27.3 We send notices to the Owner's registered email and may show them in the app. Send notices to us at hello@billi.work. Email notice is effective when sent unless a delivery failure is received.

27.4 If a clause is unenforceable the rest remains in force. A failure to enforce a right is not a waiver. The parties are independent contractors. Headings and the plain-language summary do not affect interpretation; "including" means "including without limitation". These Terms are in English.

28. Contact

Billi is operated by Collice Rodrigues, a sole proprietor in India.

One address reaches us for everything: hello@billi.work — support, billing and cancellation, security reports, legal notices, and privacy or grievance matters. Please say in the subject line which of those it is so it reaches the right place quickly.

Grievance Officer (see Privacy Policy): Collice Rodrigues, hello@billi.work.
